I have a mixed corporate practice with a focus on public and private transactions, franchising and commercial contracts.

I work with a variety of clients, including companies involved in oil and gas exploration, franchise and retail and mining and technology.

My transactional experience includes advising clients on M&A transactions involving asset and share transactions, joint venture arrangements and compliance with securities legislation and exchange policies.

I also have experience advising clients on both private and public equity and debt offerings and financing transactions.

I have robust experience advising on franchise transactions and have acted for franchisors and franchisees on M&A transactions involving franchisors and matters relating to franchise disclosure documents, franchise agreements, area development agreements and master franchise agreement.

I also have experience drafting, negotiating and advising on general commercial contracts for day to day operations of a business which include, but are not limited to, shareholder agreements, intellectual property licensing agreements, consulting agreements, leases, and procurement contracts.

Picture this: three young men, each wearing their only suits. They’re standing in a small office furnished with three second-hand desks, three computers and an unruly fax machine.

That’s Jim Shea, Dennis Nerland and David Calnan on the day Nerland Lindsey first opened its doors in 1990. Space was modest, but the founders’ excitement filled the room.
